Head of Compliance & Corporate Governance

Job Purpose:
Head of Compliance & Corporate Governance will lead the Compliance & Corporate Governance Section and is responsible for overseeing the company’s compliance with laws, regulations, company’s policies, business ethics and industrial practice as well as the company’s corporate governance instruments and practice under supervision of General Counsel.
The duties include:
(1) coordinating with company management to identify potential risks of non-compliance, implementing policies and procedures to uphold laws, regulations, and company policies, and monitoring the company’s adherence to those laws, regulations, and policies.
(2) Coordinating with company management and the board/company’s secretaries to ensure adequate management of and adherence to corporate governance instruments.
(3) Organizing awareness programs or trainings to company employees in the field of compliance and governance.
(4) Responsible for the work distribution in the Compliance & Corporate Governance Section and the delivery of work to clients.
(5) Responsible for training legal counsel within the Compliance & Corporate Governance Section.
Key Accountabilities:
Compliance:
- Monitor, identify and update the management of relevant local and international laws, regulations, standards and practices that affect the Company’s business processes in the company’s compliance matrix. Prepare regular compliance reports to management.
- Assist clients including providing advice on any issues or questions related to compliance and business ethics including but not limited to data privacy, GDPR and cybersecurity regulations. Being focal point for all questions on legal compliance matter as well as audits and monitoring compliance of Privacy Impact Assessment (PIA) related to data privacy regulations.
- Manage business ethics training (mandatory annual code of conduct training) to employees, Board members and contractors.
- Manage the Compliance Management Team (CMT) including CMT quarterly meeting and assumes secretary function to CMT.
- Maintain Compliance Register and administer of all ongoing compliance matters, overview, and report. Being focal point for Risk Quarterly Divisional Risk Reports.
- Manage Business Ethics Committee (BEC) by conducting quarterly BEC meetings and assumes secretary function to CMT BEC. Align with the Internal Audit function for update on any business ethics investigation.
- Manage Conflict of Interest matter in coordination with HR Department including develop and maintain Conflict of Interest reporting system.
- Manage any investigations or litigation related to non-compliance regulatory issues either in Qatar or abroad.
- Manage awareness compliance program and campaign throughout the company.
Corporate Governance:
- Maintain and update from time to time the company’s Corporate Governance instruments including company’s Articles of Association, Delegation of Authority (DOA), Board Manual, Board Committees’ Charters, standard/template of Board resolutions and minutes of meetings.
- Conduct annual audit on matters reserved for the Board approval.
- Organize periodic evaluations of the Board of Directors performance and implement recommendations from the result of evaluations.
- Plan, organize and implement training programs for the Board members.
- Manage Corporate Governance Committee (CGC) (one of the Board committees) quarterly meetings and assume secretary function to the CGC.
- Manage training program to Board members and employees on the basic corporate governance of the company.
- Develop from time to time the company’s corporate governance system by benchmarking with other companies in Qatar or overseas for improvement.
Desired Candidate Profile:
- Bachelor’s Degree in relevant discipline
- 10 years direct and relevant experience with multinational companies in legal compliance and corporate governance work.
- Experience in developing or maintaining business ethics/code of conduct (including conflict of interest) frameworks, instruments and policies and handling cases or investigations related to business ethics.
- Experience in developing or maintaining corporate governance frameworks, instruments and policies.
- Demonstrate good leadership (as head or leader of department, section, committee, team or project).
- Having good knowledge of corporate finance, audit and due diligence skill (advantage).
